Role Overview

The Product Counsel will serve as the key legal point of contact for key product lines, specifically those involving equities and tokenized securities. This role is pivotal in managing Binance's legal needs and obligations related to tokenized securities and stock trading products and services.

Key Responsibilities

• Serve as the primary legal contact for key product lines, such as equities and tokenized securities, managing all associated legal obligations.
• Coordinate efforts across various Legal teams (including Commercial, Corporate, Regulatory, Data Privacy, Litigation) and cross-functional teams (Compliance, Risk, Marketing, Business Development, Customer Support, Tax).
• Provide counsel on ad hoc regulatory issues relevant to the product suite.
• Facilitate product development throughout its entire life cycle, from design and launch through ongoing advisory, focusing on identifying and mitigating specific legal risks associated with tokenized securities and traditional financial instruments.
• Advise on regulatory compliance and implementation, with a specific focus on securities and financial instruments regulation as well as digital asset regulation.
• Draft, amend, and negotiate various product-centric terms and commercial contracts, including brokerage agreements, tokenization agreements, trading terms, and partner contracts, while developing risk mitigating templates.
• Advise on product-related marketing, announcements, and social media campaigns to ensure adherence to financial promotion and advertising rules applicable to tokenized securities.
• Advise on client complaints and disputes in collaboration with litigation colleagues, covering matters related to tokenized securities and equities trading.
• Manage relationships with internal and external stakeholders, coordinating across diverse jurisdictions and time zones.
• Partner with cross-functional teams to drive user acquisition and retention for equities products.
• Maintain up-to-date knowledge of industry and market trends and research concerning product-centric regulatory issues, particularly at the intersection of tokenized securities, traditional equities, and digital assets.
• Anticipate future requirements and identify potential legal issues during the end-to-end planning and execution of equities and tokenized securities products within the Binance ecosystem.
• Support licensing initiatives and other internal projects related to tokenized securities and stock trading.
• Develop creative solutions to meet evolving business needs.
• Contribute through knowledge sharing, which includes delivering training and creating internal guidance for colleagues within and outside of the Legal department.
• Oversee the engagement of external counsel in strict accordance with internal policies and procedures.

Preferred Qualifications

• A qualified lawyer possessing a minimum of 4-10 years of experience in a law firm, financial services firm, or a fast paced technology company.
• Deep understanding of securities and financial instruments regulation, including experience with brokerage licensing, securities trading rules, and financial market infrastructure.
• Proven confidence in engaging with senior stakeholders and providing trusted, commercially astute legal advice.
• Ability to effectively multitask and prioritize across multiple stakeholders and business units.
• Experience in product counseling on privacy, data protection, intellectual property, or technology transactions or litigation would be an advantage.
• Demonstrates a proactive and hands-on approach with the capability to manage complex projects independently.
• A strong team player with solid business acumen and excellent communication skills, capable of collaborating with cross-functional business teams and maintaining necessary regulatory and compliance stakeholder relationships.
• A keen interest in the crypto world and digital asset markets, with experience bridging traditional finance with tokenized securities or crypto/Web3 being a significant plus.
